Doubts about the merger of PKN Orlen and Grupa Lotos

Doubts regarding the merger of PKN Orlen and Grupa Lotos are voiced by minority shareholders.

Two minority shareholders continue to maintain their doubts as to the legitimacy of the merger between PKN Orlen and Grupa Lotos. In their opinion, the said combination was not beneficial. This seems to be confirmed by expert opinions prepared by experts. There are indications about the harmful consequences of the connection that may cause a number of threats. Saudi Armaco’s favoring of Lotos remains particularly questionable. In addition, the agreement with Unimot regarding the sale of fuel depots and the asphalt business within Lotos Terminale has not yet been finalized. As experts point out, the finalization of this agreement was one of the conditions referred to as remedies that the European Commission (EC) appointed PKN Orlen. Representatives of Orlen declare that they are in constant contact with the European Commission. They emphasize that all actions taken to implement countermeasures are taking place as planned. So there is no reason to undermine the merger, which was, in their opinion, made.

However, thanks to two minority shareholders, dubious issues became the focus of the court’s attention. Now, proceedings are pending before the court to declare the merger null and void.
